1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the website located at this domain (the "Website") and any services provided by Nexium Trade Limited ("Nexium", "we", "us" or "our"), a company carrying on business in the Hong Kong Special Administrative Region ("Hong Kong").
By accessing or using the Website, or by engaging us for any service, you agree to be bound by these Terms. If you do not agree, you must not use the Website or our services.
2. Definitions
- "Client", "you" or "your" means any person or entity that uses the Website or engages our services.
- "Services" means our international trading, sourcing, procurement, business introduction and commission-based agency services, and any related activities.
- "Introduction" means any connection, referral or introduction we make between a Client and a buyer, supplier, counterparty or other third party.
- "Engagement" means a separate written agreement, mandate, engagement letter or commission agreement between you and Nexium that governs a specific assignment.
3. Our Services
Nexium acts as an independent intermediary, agent and facilitator. We may provide international trading, sourcing and procurement support, business introductions and agency representation on a commission basis. We are not a party to, and do not guarantee the performance of, any underlying contract of sale, supply or other transaction entered into between a Client and a third party unless we are expressly named as a principal in writing.
The specific scope, deliverables, commission and terms of any assignment will be set out in a separate Engagement. In the event of any conflict between an Engagement and these Terms, the Engagement shall prevail in respect of that assignment.
4. Commission & Fees
Unless otherwise agreed in writing, our remuneration is earned on a commission basis, calculated and payable as set out in the relevant Engagement. Where we introduce a counterparty or opportunity to you, you agree that:
- commission becomes payable on transactions concluded with, or as a result of, an Introduction made by us, including repeat, renewed or related transactions for the period stated in the Engagement;
- you will not seek to circumvent, bypass or avoid our involvement, or deal directly or indirectly with an introduced party so as to deprive us of commission properly due; and
- all commissions are exclusive of any applicable taxes, duties, bank charges or third-party costs, which shall be borne as agreed in the Engagement.
5. Use of the Website
You agree to use the Website only for lawful purposes. In particular, you must not:
- use the Website in any way that breaches any applicable local, national or international law or regulation;
- transmit any material that is unlawful, defamatory, infringing or otherwise objectionable;
- attempt to gain unauthorised access to, interfere with, or disrupt the Website, its servers or any connected systems; or
- use any automated system to access the Website in a manner that sends more requests than a human could reasonably produce.
6. Intellectual Property
All content on the Website — including text, graphics, logos, the "Nexium Trade" name and marks, layout and design — is owned by or licensed to Nexium and is protected by copyright, trade mark and other intellectual property laws. You may view and print content for your own internal, non-commercial use only. You must not copy, reproduce, republish, distribute or exploit any content without our prior written consent.
7. Confidentiality
Each party shall keep confidential all non-public information disclosed by the other in connection with the Services, including the identity of introduced counterparties, pricing and commercial terms, and shall use such information only for the purpose for which it was disclosed. This obligation survives termination of any Engagement.
8. Disclaimers
The Website and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we make no representations or warranties of any kind, express or implied, as to the operation of the Website or the accuracy, completeness or reliability of any information on it.
Information about counterparties, markets or opportunities is provided in good faith but does not constitute advice or a recommendation. You are responsible for conducting your own due diligence and for your own commercial decisions. We do not warrant that any Introduction will result in a transaction, or that any introduced party will perform its obligations.
9. Limitation of Liability
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be excluded or limited.
Subject to the above, to the fullest extent permitted by law we shall not be liable for any indirect, incidental, special or consequential loss, or for any loss of profit, revenue, business, goodwill or anticipated savings, arising out of or in connection with the Website, the Services or any Introduction. Our total aggregate liability arising out of or in connection with any assignment shall not exceed the total commission actually received by us for that assignment.
10. Indemnity
You agree to indemnify and hold harmless Nexium, its directors, officers and employees from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of your breach of these Terms, your use of the Website, or any transaction you enter into with a third party introduced by us.
11. Third-Party Links
The Website may contain links to third-party websites. Such links are provided for convenience only and do not signify our endorsement. We have no control over, and accept no responsibility for, the content or practices of any third-party website.
12. Suspension & Termination
We may suspend or withdraw all or part of the Website, and may decline or discontinue any Engagement in accordance with its terms, at our discretion and without notice where reasonably necessary. The provisions relating to commission, confidentiality, intellectual property, disclaimers, liability and governing law survive termination.
13. Changes to these Terms
We may revise these Terms from time to time. The version in force is the one published on the Website at the time you access it. Your continued use of the Website after any change constitutes acceptance of the revised Terms.
14. Governing Law & Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China. You agree to submit to the exclusive jurisdiction of the courts of Hong Kong, save that we retain the right to bring proceedings in any other jurisdiction where you are based or hold assets.
